Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SALT platform operated by Cobalt Speech and Language, Inc. ("Cobalt," "we," "us," or "our"). By creating an account or using the platform, you agree to these Terms.

1. Platform Overview

SALT is a clinical software platform designed for licensed speech-language pathologists (SLPs) and authorized clinical professionals. The platform provides tools for language sample analysis (SALT), articulation assessment (SPICE), caseload management, session recording, and AI-assisted clinical reporting.

2. Eligibility

You must be a licensed or credentialed speech-language pathologist, a clinical fellow under supervision, or an authorized member of a clinical organization to use the platform. By registering, you represent that you hold the appropriate professional credentials and licensure required by your jurisdiction.

3. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You must provide accurate, current information during registration and keep it up to date.
  • You must notify us immediately if you suspect unauthorized access to your account.
  • You may not share your account credentials or allow others to access the platform through your account.

4. Acceptable Use

You agree to use the platform only for lawful clinical purposes. You may not:

  • Use the platform for any purpose other than legitimate clinical practice.
  • Upload, store, or transmit content that violates any applicable law or regulation, including HIPAA.
  • Attempt to reverse-engineer, decompile, or access the source code of the platform.
  • Interfere with or disrupt the platform's infrastructure, security, or performance.
  • Use automated tools (bots, scrapers) to access the platform without written permission.

5. Clinical Data and Protected Health Information

The platform is designed to handle Protected Health Information (PHI) in compliance with the Health Insurance Portability and Accountability Act (HIPAA). You acknowledge that:

  • You are responsible for obtaining appropriate consent from clients or their legal guardians before entering their information into the platform.
  • You must use the platform in compliance with HIPAA and any other applicable privacy laws in your jurisdiction.
  • We will enter into a Business Associate Agreement (BAA) with your organization as required by HIPAA before PHI is processed through the platform.

6. Audio Recording and AI Processing

The platform allows you to record, upload, and analyze audio from clinical sessions. By using these features, you acknowledge that:

  • You are responsible for obtaining informed consent for audio recording from clients or their legal guardians, in accordance with applicable laws.
  • Audio recordings are processed using AI models for transcription and analysis. These models may be operated by Cobalt or by third-party service providers under appropriate data processing agreements.
  • AI-generated transcriptions and analyses are provided as clinical decision support tools and do not constitute medical advice, diagnosis, or treatment recommendations.
  • You are solely responsible for reviewing, verifying, and approving all AI-generated output before relying on it in clinical practice.

7. Subscriptions and Billing

  • Access to the platform is provided through paid subscription plans. Details of available plans, pricing, and features are presented at the time of purchase.
  • Subscriptions renew automatically at the end of each billing period unless canceled before the renewal date.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period, and no partial refunds are issued for unused time.
  • We reserve the right to modify pricing with at least 30 days' notice before the change takes effect for your next billing cycle.

8. Intellectual Property

All rights, title, and interest in the platform (including its software, design, branding, documentation, and AI models) are owned by Cobalt. Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform for its intended purpose.

You retain ownership of all clinical data and content you create using the platform.

9. Disclaimers

  • The platform is provided "as is" and "as available." We make no warranties, express or implied, regarding reliability, accuracy, or fitness for a particular purpose.
  • AI-generated outputs (transcriptions, analyses, suggestions) are tools to assist clinical judgment. They are not a substitute for professional expertise. You assume full responsibility for clinical decisions.
  • We do not guarantee uninterrupted or error-free operation of the platform.

10. Limitation of Liability

To the maximum extent permitted by law, Cobalt shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or clinical outcomes, arising out of or related to your use of the platform.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

11. Data Export and Account Termination

  • You may request an export of your clinical data at any time while your account is active.
  • Upon account termination, we will retain your data for 90 days to allow for export, after which it will be permanently deleted in accordance with our data retention policy.
  • We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or if required by law.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the platform at least 30 days before they take effect. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
